These Terms of Service ("Terms") govern your use of the CeeU mobile application and the website ceeu.app (together, the "Service"), operated by CeeU ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use CeeU.
1. Scope and Contract Formation
These Terms constitute a legally binding agreement between you and CeeU. The contract is formed when you complete account registration in the CeeU app. By registering, you confirm that you have read, understood, and accepted these Terms and our Privacy Policy.
We reserve the right to modify these Terms at any time. Material changes will be communicated via in-app notification at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
2. Eligibility
- You must be at least 13 years old to use CeeU.
- If you are between 13 and 17 years old, you must have verifiable consent from a parent or legal guardian.
- If you are under 18, your parent or guardian agrees to these Terms on your behalf and is responsible for your use of the Service.
- By creating an account, you represent and warrant that you meet these age requirements.
3. User Conduct
You agree not to use CeeU to:
- Harass, bully, threaten, or intimidate other users.
- Send unsolicited commercial messages or spam.
- Share, distribute, or solicit child sexual abuse material (CSAM) or any content depicting minors in a sexual manner. This will result in immediate, permanent ban and reporting to law enforcement.
- Impersonate any person or entity, or falsely state or misrepresent your affiliation.
- Share personal information of other users without their consent (doxxing).
- Use the Service for any illegal purpose or in violation of any applicable law.
- Attempt to circumvent, disable, or interfere with the Service's security features.
- Use automated tools, bots, or scripts to access the Service.
- Solicit money, goods, or services from other users.
Violation of these rules may result in temporary suspension or permanent termination of your account at our sole discretion.
4. Anonymous Chat and Reveal Mechanics
CeeU's core feature is anonymous music-based matching. By using the Service, you acknowledge and agree that:
- Matches are based on music preferences and real-time availability. We do not guarantee compatibility, friendship, or any specific outcome.
- Chat sessions begin fully anonymously. Neither user can see the other's identity until the reveal threshold is reached (50 messages for free users, 15 for Sonar+ subscribers).
- The reveal is mutual — both users must consent. If one user declines, the chat remains anonymous.
- If both users save the chat after reveal, full profiles are exchanged. This action is irreversible.
- We do not monitor individual chat messages in real time. However, we use automated systems to detect prohibited content and may review reported conversations.
5. Content and Intellectual Property
You retain ownership of any content you create or share through the Service (messages, profile information). By using CeeU, you grant us a limited, non-exclusive, royalty-free license to use, store, and transmit your content solely for the purpose of providing the Service.
The CeeU name, logo, visual design, animations, and all original content on ceeu.app are the intellectual property of CeeU and protected under applicable copyright and trademark laws. You may not copy, modify, or distribute any part of the Service without prior written consent.
Music metadata (song titles, artist names, album artwork) displayed in the app is sourced from third-party services (Spotify) and remains the property of the respective rights holders.
6. Virtual Goods — Coins and Sonar+
Coins
- Coins are a virtual currency used within CeeU. They have no monetary value outside the app and cannot be exchanged for real currency.
- Coins are earned through in-app activities (matching, streaks, Daily Music Pulse, sharing) and can be spent on features like early reveal, super match, and chat reactivation.
- Consumed coins are non-refundable.
- We reserve the right to modify coin earning rates, prices, and available features at any time.
Sonar+ Subscription
- Sonar+ is a recurring subscription available as monthly (€3.99) or annual (€24.99) plans.
- Subscriptions are processed and managed through the Apple App Store. All billing, renewal, and cancellation are handled by Apple according to their terms.
- Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current billing period.
- Refunds for subscriptions are handled by Apple according to their refund policy.
- We reserve the right to change subscription pricing with 30 days' notice.
7. Suspension and Termination
- We may suspend or terminate your account at any time if you violate these Terms, with or without notice.
- Serious violations (CSAM, credible threats, illegal activity) result in immediate permanent ban without warning.
- You may delete your account at any time via Settings → Account → Delete Account. This is permanent and irreversible.
- Upon termination, your right to use the Service ceases immediately. Any unused coins or remaining Sonar+ subscription time will be forfeited unless prohibited by applicable law.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free.
- Any match will result in a positive experience, friendship, or relationship.
- Other users are who they represent themselves to be (after reveal).
You use CeeU at your own risk. We are not responsible for the content, behavior, or actions of other users.
9. Limitation of Liability
To the maximum extent permitted by applicable law, CeeU shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of goodwill, or emotional distress, arising out of or relating to your use of the Service.
Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to CeeU in the 12 months preceding the claim, or €50, whichever is greater.
10. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions.
The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Munich (München), Germany, provided you are a merchant, a legal entity under public law, or have no general place of jurisdiction in Germany.
For consumers within the EU, mandatory consumer protection laws of your country of residence apply in addition to German law where they provide greater protection.
